Terms of Service

These terms are the agreement between you and Beacon for use of our product and website. They're written to be readable, and they say plainly what you can expect from us and what we expect from you.

Draft for review. A practical draft grounded in Beacon's ratified commercial model. It needs a lawyer's pass — particularly the warranty, liability and indemnity sections — before it governs a paying customer.

1 · The agreement

These Terms of Service ("Terms") are a binding agreement between Startup Academy LLC, trading as Beacon Revenue® ("Beacon", "we", "us"), and the company or person using Beacon ("you", "customer"). By creating an account, connecting a system, or using the service, you agree to these Terms. If you're accepting on behalf of a company, you confirm you're authorised to bind it.

2 · The service

Beacon is an intelligence layer for recurring-revenue companies: it reads the systems you connect, computes your revenue metrics deterministically, and presents them to your team and the readers you choose. The specifics of what's included depend on your plan, and the product evolves — we add and improve features over time. Beacon is one standard product; we don't build customer-specific versions.

3 · Accounts & eligibility

Beacon is a business product, for use by organisations and their people. You must be at least 16, and provide accurate account information. You're responsible for activity under your account and for your users' compliance with these Terms. Your administrator controls who has access and at what level.

4 · Plans, pricing & billing

Plans

Beacon offers a Free plan and a paid Growth plan. Current inclusions and prices are on our pricing page, which forms part of these Terms.

The price follows your revenue

Paid pricing is set by one number — your recurring revenue, measured by Beacon from the billing you connect. As you grow into a higher point on the published curve, your subscription re-prices, and not before. This is checked quarterly against the measured figure, announced before it changes, and applies from your next monthly cycle (or at renewal, on annual plans). It works the same downward. If you believe the measurement is wrong, you can challenge it, and the change pauses while it's resolved from the record.

Trial, payment, and cancellation

  • Trial. The paid plan can be trialled for 14 days with no card required, one trial per company domain. When it ends, your workspace continues on Free with your data intact.
  • Billing. Paid plans are billed through Stripe, monthly or annually in advance. Annual plans are discounted as shown on the pricing page. Fees are exclusive of taxes, which we add where required.
  • Cancellation. You can cancel at any time, self-serve, from your billing settings. Monthly plans stop at the end of the paid cycle; we don't refund partial periods unless the law requires it.
  • Readers never pay. External readers — board members, investors, advisors — are free and are never counted.

Beacon is built for recurring-revenue companies up to about $100M in annual recurring revenue. Above that, or where revenue isn't recurring, Beacon may not be the right fit, and we'll say so.

5 · The benchmark network

Beacon offers anonymised peer benchmarks that run on contributed, aggregated data. On the Free plan, contributing your anonymised aggregates is a condition of the plan; on paid plans it's an optional, reciprocal choice. The protections, and the exact consent, are set out in Benchmark network & data sharing and the Privacy Notice.

6 · Your data and ours

Your data stays yours. You own the data in your workspace and the records in the systems you connect. You grant us the rights we need to operate the service for you — to read, process and display your data as these Terms and our Data Processing Agreement describe. Where connected records contain personal data, we act as your processor under the DPA.

We own Beacon. The software, design, and content of the product and website are ours or our licensors', protected by intellectual-property law. These Terms don't transfer any of that to you beyond the right to use the service.

Anonymised and aggregated data. We may create and use de-identified, aggregated data — including the benchmark aggregates described above — to operate and improve Beacon. This data doesn't identify you.

Feedback. If you send us ideas or suggestions, we may use them to improve Beacon without obligation to you.

7 · Connected systems

You connect third-party systems (such as billing or CRM) using each system's own authorisation — we never take or hold your credentials, and you can disconnect any system at its source at any time. Your use of those systems is governed by your agreements with them, not us. You're responsible for having the right to connect them and to let Beacon process the data they contain.

8 · Acceptable use

You agree not to: use Beacon unlawfully or to infringe others' rights; attempt to access data or accounts that aren't yours; reverse-engineer, resell or copy the service except as the law allows; interfere with its operation or security; or upload malicious code. We may suspend access to protect the service, our customers, or the law, and will act proportionately.

9 · Availability & support

We work to keep Beacon available and reliable, but the service is provided on an "as available" basis, and there may be maintenance or occasional interruptions. Support is provided as described on our website or in your plan. 10 · Disclaimers

Beacon surfaces information and reasoning to help you make decisions; it does not make decisions for you, and nothing in Beacon is legal, financial, tax or other professional advice. To the fullest extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. You use Beacon's outputs at your own discretion and remain responsible for your decisions.

11 · Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or revenues. Our total liability arising out of or relating to the service is limited to the amount you paid us for the service in the 12 months before the claim.For counselConfirm the liability cap, the carve-outs (e.g. confidentiality, data-protection breach, indemnities), and add an indemnity section if required. These are the clauses most likely to need adjustment for your risk posture and for enterprise customers.

12 · Term & termination

These Terms apply while you use Beacon. You can stop at any time by cancelling and closing your workspace. We may suspend or terminate for material breach, non-payment, or where required by law, with notice where practicable. On termination, your right to use the service ends; you can export your derived data and sealed history on request, and we delete or anonymise personal data as described in the Privacy Notice. Sections that by their nature should survive — ownership, disclaimers, liability, and governing law — survive termination.

13 · Changes

We may update these Terms as Beacon or the law changes. We'll post the updated version with a new date, and for material changes we'll give reasonable notice. If you keep using Beacon after a change takes effect, that's your acceptance; if you don't agree, you can stop using the service.

14 · Governing law & contact

These Terms are governed by the laws of the State of California, United States, without prejudice to mandatory consumer-protection or data-protection laws that apply where you are, including in the European Union.
